Si les informations concernant l&#39;identification du prospect ne sont pas indiqu&eacute;es dans le pr&eacute;sent contrat, l&#39;Apporteur devra les communiquer par e-mail au Client.

If the information concerning the identification of the prospects is not indicated in the present contract, the Business Introducer must communicate it by email to the Client. 
&nbsp;

OBLIGATIONS

D&egrave;s la signature de la convention, l&rsquo;Apporteur fournira sans d&eacute;lai au Client une copie de son extrait Kbis, de son N&deg; de SIRET, d&rsquo;une carte d&rsquo;identification justifiant de l&rsquo;inscription au registre des m&eacute;tiers, ou enfin un r&eacute;c&eacute;piss&eacute; du d&eacute;p&ocirc;t de d&eacute;claration aupr&egrave;s d&rsquo;un centre de formalit&eacute;s des entreprises pour les personnes physiques ou morales en cours d&rsquo;inscription. 
&Agrave; d&eacute;faut d&rsquo;obtenir ces documents, aucune convention ne pourra &ecirc;tre sign&eacute;e. 
Si l&rsquo;Apporteur est une personne physique, il devra fournir une copie de pi&egrave;ce d&rsquo;identit&eacute; au Client. 
L&rsquo;Apporteur s&rsquo;oblige au respect des obligations l&eacute;gales applicables &agrave; la profession en tenant compte des valeurs &eacute;thiques et en respectant les r&egrave;gles internes et externes voulues par le Client. 
L&rsquo;Apporteur ne pourra en aucun cas &ecirc;tre tenu pour l&rsquo;agent, le pr&eacute;pos&eacute;, le repr&eacute;sentant et/ou le mandataire de Junot. 
Il ne dispose d&rsquo;aucun pouvoir de repr&eacute;sentation du Client vis-&agrave;-vis des tiers et il ne pourra donc engager le Client &agrave; quelque titre que ce soit. 
Enfin, il s&rsquo;interdit de se pr&eacute;senter aux tiers comme b&eacute;n&eacute;ficiant d&rsquo;un tel pouvoir de repr&eacute;sentation accord&eacute; par le Client ou d&rsquo;un quelconque mandat. 
L&rsquo;Apporteur ne pourra donc en aucune circonstance n&eacute;gocier, conclure des contrats au nom et pour le compte du Client et il n&rsquo;est, &agrave; l&rsquo;exception des commissions pr&eacute;vues &agrave; l&rsquo;article 4, aucunement habilit&eacute; &agrave; recevoir et &agrave; disposer des sommes d&rsquo;argent, biens ou effets de valeur. 
Le Client s&rsquo;engage &agrave; r&eacute;gler les commissions factur&eacute;es conform&eacute;ment &agrave; l&rsquo;article 4 &agrave; l&rsquo;Apporteur, en contrepartie de l&rsquo;ex&eacute;cution de sa mission et si la vente se r&eacute;alise par la suite, autrement dit lorsqu&rsquo;un acte authentique de vente est sign&eacute; impliquant le prospect pr&eacute;sent&eacute; par l&rsquo;Apporteur. 
Les Parties s&rsquo;engagent &agrave; ne pas entreprendre de d&eacute;marche commerciale pouvant nuire &agrave; l&rsquo;image ou &agrave; la r&eacute;putation de l&rsquo;autre Partie.

As soon as the Agreement is signed, the Business Introducer shall immediately provide the Client with a copy of his/her Kbis extract, SIRET number, an identification card proving registration in the Register of Companies or a receipt for filing a declaration with a business formalities centre for natural or legal persons in the process of being registered. 
If these documents are not obtained, no agreement may be signed. 
If the Business Introducer is a natural person, he/she must provide the Client with a copy of an identity document. 
The Business Introducer undertakes to comply with the legal obligations applicable to the profession, taking into account ethical values and complying with the internal and external rules desired by the Client. 
Under no circumstances may the Business Introducer be held liable as Junot&rsquo;s official, employee, representative and/or agent. 
He/she has no power to represent the Client vis-&agrave;-vis third parties and may not therefore bind the Client in any capacity whatsoever. 
Finally, he/she shall refrain from presenting himself/herself to third parties as having such power of representation granted by the Client or any agency agreement whatsoever. 
The Business Introducer may not therefore under any circumstances negotiate or enter into contracts in the name and on behalf of the Client, and he/she is not authorised to receive and dispose of sums of money, goods or valuables, with the exception of the commissions provided for in Clause 4. 
The Client undertakes to pay the Business Introducer the commission invoiced in accordance with Clause 4 in return for the performance of his/her mission and if the sale is subsequently completed, i.e. when a notarised deed of sale is signed involving the prospect presented by the Business Introducer. 
The Parties agree not to undertake any commercial approach that may harm the image or reputation of the other Party.

L&rsquo;Apporteur jouit de la plus grande ind&eacute;pendance dans l&rsquo;organisation de son activit&eacute;, de son temps et de sa structure juridique. 
			La pr&eacute;sente convention ne saurait donc constituer, en aucune mani&egrave;re, un contrat de travail. Les Parties ne sont li&eacute;es par aucun mandat d&rsquo;int&eacute;r&ecirc;t commun. L&rsquo;Apporteur renonce express&eacute;ment &agrave; se pr&eacute;valoir du statut des agents commerciaux tel que d&eacute;fini aux articles L 134-1 et suivants du Code de commerce. En tant qu&rsquo;ind&eacute;pendant, l&rsquo;Apporteur supporte tous les frais et responsabilit&eacute;s occasionn&eacute;s par sa prospection et son activit&eacute; dans le cadre de la pr&eacute;sente convention. En outre, chacune des Parties fera son affaire d&rsquo;&eacute;tablir et de r&eacute;gler l&rsquo;ensemble des impositions, taxes dues au titre des r&egrave;glements qui seront effectu&eacute;s.

The Business Introducer shall have the utmost independence in organising his/her activity, his/her time and his/her legal structure. 
This agreement may not, therefore, in any way, constitute an employment contract. The Parties are not bound by any mandate of common interest. The Business Introducer expressly waives the right to rely on the status of commercial agents as defined in Article L 134-1 et seq. of the French Commercial Code. As an independent contractor, the Business Introducer shall bear all costs and liabilities incurred as a result of his/her prospecting and activity under this agreement. In addition, each of the Parties shall be responsible for establishing and paying all taxes and duties due in respect of the payments made.

Par la pr&eacute;sente convention, l&rsquo;Apporteur accepte la mission consistant &agrave; pr&eacute;senter de nouveaux biens immobiliers et de nouveaux prospects au Client. Aucune commission ne sera vers&eacute;e avant la r&eacute;alisation &laquo;effective&raquo; de l&rsquo;op&eacute;ration de vente avec le Prospect pr&eacute;sent&eacute; par l&rsquo;Apporteur. Cette r&eacute;mun&eacute;ration sera exigible le jour ou la transaction sera effectivement conclue et constat&eacute;e dans un acte authentique de vente notari&eacute;.

The Business Introducer hereby accepts the mission consisting of presenting new real estate assets and new prospects to the Client. No commission will be paid before the &ldquo;actual&rdquo; completion of the sale transaction with the Prospect presented by the Business Introducer. This remuneration shall be payable on the day on which the transaction is actually concluded and recorded in a notarised deed of sale.

La facture sera payable dans un d&eacute;lai de trente jours &agrave; compter de sa r&eacute;ception et de la r&eacute;ception des fonds composant les honoraires du Client.

The Business Introducer must send the Client an invoice mentioning his/her registration number in the trade and companies register pursuant to Article R. 123-237 of the French Commercial Code or his/her SIRET number, the contact details of the Client or the address of the property sold, introduced by him/her, as well as all the legal notices. The invoice shall be payable within 30 (thirty) days of receipt and receipt of the funds comprising the Client&#39;s fees. 
L&rsquo;Apporteur reconna&icirc;t qu&rsquo;aucune r&eacute;mun&eacute;ration ni aucune indemnit&eacute; ne sera due en l&rsquo;absence de transaction effectivement conclue et constat&eacute;e dans un acte authentique de vente notari&eacute; entre le Client et les Prospects selon les termes du pr&eacute;sent article.

The Business Introducer acknowledges that no remuneration or compensation will be due in the absence of a transaction effectively concluded and recorded in a notarised deed of sale between the Client and the Prospects in accordance with the terms of this clause.
