The Business Introducer shall refrain from communicating to third parties, or using for the benefit of third parties, the content of any file or list of clients or property assets communicated to him/her by the Client. 
Similarly, the Client undertakes to keep confidential any information or details relating to the techniques, methods or know-how of the Business Introducer, as well as any details about his/her actions, negotiations or results, or any figures of any kind concerning him/her.

OBLIGATION DE LOYAUT&Eacute;&nbsp;DUTY OF LOYALTY

Les Parties s&rsquo;engagent &agrave; toujours se comporter l&rsquo;une envers l&rsquo;autre comme des partenaires loyaux et de bonne foi et notamment &agrave; s&rsquo;informer mutuellement de toute difficult&eacute; qu&rsquo;elles pourraient rencontrer dans le cadre de l&rsquo;ex&eacute;cution de la pr&eacute;sente convention.

The Parties undertake to always act towards each other as loyal partners and in good faith and in particular to inform each other of any difficulties they may encounter in connection with the performance of this agreement. 
&nbsp;

RENONCIATION&nbsp;WAIVER

Le fait pour l&rsquo;une des Parties de ne pas invoquer &agrave; l&rsquo;encontre de l&rsquo;autre Partie une quelconque clause de la pr&eacute;sente convention, ne saurait &ecirc;tre interpr&eacute;t&eacute; comme emportant renonciation tacite au b&eacute;n&eacute;fice de ladite clause. 
Si une clause de la pr&eacute;sente convention devient nulle ou non ex&eacute;cutoire, en entier ou pour partie, la pr&eacute;sente convention restera en vigueur au regard des autres clauses et des dispositions survivantes de la clause consid&eacute;r&eacute;e. Les Parties s&rsquo;efforceront de ren&eacute;gocier de bonne foi la clause pour parvenir &agrave; l&rsquo;objectif recherch&eacute; par les Parties lors de la r&eacute;daction de la clause initiale.

The fact that one of the Parties does not invoke any clause of this agreement against the other Party shall not be interpreted as entailing a tacit waiver of the benefit of the said clause. 
If a clause of this agreement becomes invalid or unenforceable, in whole or in part, this agreement shall remain in force with regard to the other clauses and the surviving provisions of the clause in question. The Parties shall endeavour to renegotiate the clause in good faith to achieve the objective sought by the Parties when drafting the initial clause.

PROPRI&Eacute;T&Eacute; INTELLECTUELLE&nbsp;INTELLECTUAL PROPERTY

Il est convenu entre les Parties que la pr&eacute;sente convention ne saurait entra&icirc;ner une quelconque cession de droits de propri&eacute;t&eacute; intellectuelle par l&rsquo;une des Parties &agrave; l&rsquo;autre Partie. Chaque Partie est et reste propri&eacute;taire exclusif des droits de propri&eacute;t&eacute; intellectuelle attach&eacute;s &agrave; ses marques, logos, nom de domaine et tout autre &eacute;l&eacute;ment de son patrimoine intellectuel.

The Parties agree that this agreement shall not entail any assignment of intellectual property rights by one Party to the other Party. Each Party is and shall remain the exclusive owner of the intellectual property rights attached to its trademarks, logos, domain name and any other element of its intellectual property.

L&rsquo;Apporteur b&eacute;n&eacute;ficie sur simple demande, et &agrave; tout moment, d&rsquo;un droit d&rsquo;acc&egrave;s, de rectification, de suppression, d&rsquo;opposition et de portabilit&eacute; de toutes les donn&eacute;es &agrave; caract&egrave;re personnel qui ont pu &ecirc;tre collect&eacute;es ou centralis&eacute;es par le Client. Cette demande s&rsquo;exerce aupr&egrave;s du responsable de traitement, &agrave; l&rsquo;adresse suivante : rgpd@junot.fr ou par courrier au : 27 avenue Junot, 75018 PARIS, &agrave; l&rsquo;attention de Mme Martine KUPERFIS.

Pursuant to Article 26 of EU Regulation 2016/679 of 27 April 2016 on data protection, the Business Introducer is informed that the Client collects and processes personal data necessary for the performance of its mission, and in particular to execute this agreement, prepare the drafting of the deeds of sale, manage the file, carry out commercial prospecting, enter into contact with its network or its partners, and comply with its legal obligations. 
Upon request and at any time, the Business Introducer has the right to access, rectify, delete, oppose and transmit all personal data that may have been collected and/or centralised by the Client. This request may be made to the data controller at the following address: rgpd@junot.fr or by post to: 27 Avenue Junot, 75018 PARIS, for the attention of Ms Martine Kuperfis.

La pr&eacute;sente convention est soumise &agrave; la loi fran&ccedil;aise. Dans le cas o&ugrave; elle serait traduite en une ou plusieurs langues &eacute;trang&egrave;res, seul le texte fran&ccedil;ais ferait foi en cas de litige. 
			Pr&eacute;alablement &agrave; tout recours au juge, les Parties s&rsquo;obligent &agrave; n&eacute;gocier de bonne foi un accord amiable en cas de survenance de tout conflit relatif &agrave; la pr&eacute;sente convention. La Partie souhaitant mettre en &oelig;uvre le processus de n&eacute;gociation devra en informer l&rsquo;autre Partie par lettre recommand&eacute;e avec accus&eacute; de r&eacute;ception. 
			Tout litige r&eacute;sultant de l&rsquo;interpr&eacute;tation, de l&rsquo;ex&eacute;cution, de la r&eacute;siliation ou de la rupture du pr&eacute;sent contrat ou d&eacute;coulant de la pr&eacute;sente convention, rel&egrave;vera de la comp&eacute;tence exclusive des juridictions du lieu du si&egrave;ge social du Client, y compris en cas de r&eacute;f&eacute;r&eacute;, pluralit&eacute; de d&eacute;fendeurs ou appel en garantie.

This agreement is subject to French law. In the event that it is translated into one or more foreign languages, only the French text shall prevail in the event of a dispute. 
Prior to any recourse to the courts, the Parties undertake to negotiate an amicable agreement in good faith in the event of the occurrence of any conflict relating to this agreement. The Party wishing to implement the negotiation process must inform the other Party by registered letter with acknowledgement of receipt. 
Any dispute resulting from the interpretation, performance, termination or breach of this Agreement or arising from this agreement shall fall under the exclusive jurisdiction of the courts of the place of the registered office of the Client, including in the event of summary proceedings, multiple defendants or third-party appeals.
